各县、市、区人民政府,市直有关单位,市属及部、省属驻邵企事业单位:


《邵阳市国有资产产权交易管理暂行办法》已经市人民政府同意,现印发给你们,请认真贯彻执行。

邵阳市国有资产产权交易管理暂行办法








第一章 总 则





第一条 为进一步规范全市国有企业和行政事业单位国有资产产权交易行为,规范、理顺产权交易市场和土地交易市场关系,保障国有资产产权交易依法依规有序进行,根据《中华人民共和国企业国有资产法》、《企业国有产权转让管理暂行办法》、《行政单位国有资产管理暂行办法》、《事业单位国有资产管理暂行办法》、《招标拍卖挂牌出让国有建设用地使用权规定》、《湖南省土地市场管理办法》等相关法律法规和文件规定,结合我市实际,制定本办法。


第二条 企业国有资产,是指国家对企业各种形式的出资所形成的权益。


行政事业单位国有资产,是指由各级行政事业单位占有、使用的,依法确认为国家所有,能以货币计量的各种经济资源的总称,包括行政事业单位用国家财政性资金形成的资产、国家调拨给行政事业单位的资产、行政事业单位按照国家规定组织收入形成的资产、以及接受捐赠和其他经法律确认为国家所有的资产,其表现形式为固定资产、流动资产和无形资产等。


第三条 国有资产产权交易应遵守国家法律、行政法规,遵循自愿平等、等价有偿、诚实信用和公开、公平、公正的原则。


第四条 邵阳市的国有企业和行政事业单位将国有资产产权转让给境内外法人、自然人或者其他组织的活动适用本办法。


国有企业包括各级各类国家出资的国有独资企业、国有独资公司,以及国有资本控股公司、国有资本参股公司。


行政单位包含各级党的机关、人大机关、行政机关、政协机关、审判机关、检察机关和各民主党派机关,以及参照公务员制度管理的事业单位和社会团体。


事业单位包含各级各类事业单位以及实行企业化管理但执行事业单位财务准则和会计制度的事业单位。


第五条 国有企业和行政事业单位使用的国有资产属于国家所有,单位依法享有占有、使用权。国有资产需要处置时,须按照国家相关法律、法规、规章和本办法的规定,认真做好资产处置工作,防止国有资产流失。


第六条 邵阳市人民政府国有资产监督管理委员会 (以下简称市国资委 )是全市企业国有资产的监管机构,负责全市企业国有资产处置中产权交易行为的监督、管理、协调和指导。


邵阳市财政局(以下简称市财政局)是全市行政事业单位国有资产的监管机构,负责全市行政事业单位国有资产处置中产权交易行为的监督、管理、协调和指导。


第七条 邵阳市产权交易中心 (以下简称产权交易中心)是经邵阳市人民政府批准设立,专业从事企业、行政事业单位国有资产和其他公有资产产权交易的机构,是实施邵阳市企业、行政事业单位国有资产产权交易的机构。





第二章 国有产权转让程序和方式





第八条 各企业、行政事业单位国有资产的处置(包括经政府批准纳入政府土地储备范围的国有土地资产的处置),除国有行政企事业单位之间的交易以及经市政府常务会集体研究同意的特殊情况可以采取协议转让(出让)的交易方式外,其余必须采取公开拍卖,公开竞价的方式交易。


第九条 各企业、行政事业单位国有资产处置原则上统一实行“进场交易”制度,即按照公开、公平、公正的原则,到产权交易中心进行交易。


国有资产“进场交易”是加强国有资产转让监管的重要措施。市国资委和市财政局要按照市人民政府确定的管理范围,认真履行监管职责,在审批转让国有资产、出售处置实物资产时,必须明确要求转让方“进场交易”。


第十条 除经市人民政府批准纳入政府土地储备范围的国有土地资产外,全市国有企业和行政事业单位的下列资产所有权及相关资产产权的交易,原则上要在邵阳市产权交易中心内公开进行,由产权交易中心依法按程序实施交易活动。


1 .土地、房屋建筑物构筑物转让;


2 .机动车、机械设备以及单位评估价值在 2万元以上(含 2万元)的办公设备和仪器设备等资产转让。( 2万元以下的资产由占有、使用单位提出申请报告,经本单位财会部门或专职资产管理机构签署意见后报主管部门审批,向监管机构备案);


3 .产权转让(含有偿兼并、破产企业资产变现、企业改组改制和产业结构调整中涉及的产权交易行为)及资产处置;


4 .股权转让;


5 .科技项目产权的有偿转让;


6 .无形资产的转让;


7 .市政府规定应进场的其它产权交易。


第十一条 “进场交易”的国有资产应严格按照产权交易中心的《邵阳市产权交易中心交易规则》规定的程序及要求进行产权交易。


第十二条 国有资产转让在申请交易之前转让方应按规定制定转让方案,履行内部决策、审议程序,办理相关审批手续,委托中介机构进行清产核资、财务审计、资产评估等工作。评估结果经监管机构核准后进入产权交易中心进行交易。


第十三条 转让方应确保转让标的的权属清晰,对转让标的拥有绝对的所有权,并对因此造成的经济、法律纠纷承担一切责任,赔偿一切损失。


第十四条 国有资产产权转让涉及土地使用权转让的特别规定:


(一)国有资产产权转让涉及土地使用权转让的,拟转让土地必须权属明晰,界址清楚,面积准确。尚未进行土地登记的,应当在清产核资时申请国土资源管理部门进行权属调查和地籍测量。可以在权属调查和地籍测量完成后,依程序先行办理土地使用权处置方案审批手续,在土地资产处置工作完成后直接办理土地变更登记。


(二)国有资产产权转让涉及改变土地用途等土地使用条件或者划拨土地使用权转让以及国家出资形成的采矿权、探矿权转让的,应当先报国土资源管理部门办理国有土地(矿产)资产处置方案审批手续。改变土地用途等土地使用条件的,还应当报请规划管理部门办理规划许可审批手续。


(三)国有资产产权转让中土地资产、地上附着物及其他国有资产应当按照有关规定分别评估。纳入国有产权转让范围内的土地使用权必须经具备土地估价资格的评估机构进行地价评估,评估结果报国土资源管理部门备案后,方可作为国有资产整体评估的依据。


国有资产整体评估报告中,应当分别注明土地使用权和地上附着物及其他国有资产评估价值。


(四)国有资产产权转让中,无地上附着物的国有划拨土地使用权或者经规划部门批准改变用途等土地使用条件并拆除地上附着物的土地使用权的处置,经国土资源管理部门下发土地处置方案批复后由产权交易中心与市国土资源交易中心联合发布信息公开交易。


不拆除地上附着物或不改变用途的土地使用权连同其他国有资产整体转让的,由产权交易中心发布信息公开交易。


第十五条 转让方委托产权交易中心转让时,须按照规定提供合法有效的证明,告知关于委托转让财产权利或物品的详细情况和瑕疵,并对应告知而未告知的瑕疵承担经济、法律责任。


第十六条 转让方、受让方对在产权交易中所提交材料内容的合法性、真实性、完整性负责,若有隐瞒和欺骗行为,则一切后果由相关交易主体负责。


第十七条 产权交易程序管理及要求


(一)产权交易程序依次分为交易申请、登记挂牌、洽谈与选择交易方式、成交签约、结算交割、交易鉴证和过户登记。


(二)《转让公告》必须在本市有影响的新闻媒体上发布或者到省级以上公开发行的经济或者金融类报刊和湖南省产权交易信息网上发布,广泛征集受让方。公告期不少于 20个工作日。


(三)征集产生的受让方为 2个以上的,应当采取公开竞价的交易方式,以确保国有资产的保值增值。


(四)产权交易价款统一由产权交易中心无息结算,产权转让价款由受让方先支付给产权交易中心,交易完成后由产权交易中心统一划转至相应的监管账户。


(五)产权转让价款原则上应一次付清。受让方未按规定支付全部成交价款及相关费用的,转让方不得交付资产,不得为其办理权证变更手续。否则应严格按规定追究转让方责任,以确保国有资产的保值增值与成功处置。


(六)产权转让价款全部付清并完成结算交割后,由产权交易中心和国土资源交易中心按照有关规定收费,分别出具《产权交易鉴证书》和《国有土地使用权成交确认书》。


交易双方应同时凭《产权交易鉴证书》和《国有土地使用权成交确认书》到市国资委或市财政局办理《产权交易资金结清证明》的盖章手续。然后凭盖章的《产权交易资金结清证明》及其他相关资料 (市国资委出具的《产权交易鉴证复核通知书》或市财政局出具的《行政事业单位国有资产处置批复书》、市产权交易中心出具的《产权交易鉴证书》、市国土资源交易中心出具的《国有土地使用权成交确认书》等资料)按照国家有关规定办理产权、土地使用权变更登记等相关手续。


有下列情形之一的,产权交易中心有权拒绝出具《产权交易鉴证书》:


1 .转让价格低于评估结果,而未获得相关产权转让批准机构同意的;


2 .受让方未按规定支付全部成交价款及相关费用的;


3 .场外交易或提交材料不符合国家有关规定、产权交易中心要求的。


第十八条 国土、房产、工商等权证变更登记机构对申请国有资产转让变动登记的,应要求转让双方提交经市国资委或市财政局盖章的《产权交易资金结清证明》才能办理产权变动登记手续。凡场外交易或产权受让方未全额支付产权转让款又未提供合法担保的,不得办理产权变动登记手续。 


第十九条 国有资产处置信息的统计报告制度


(一)各企业、行政事业单位在年度终了时,应根据财务决算的要求,向市国资委及市财政局报送其所属单位全年国有资产处置情况和汇总分析报告。


(二)产权交易中心于每季度终了后的 10日内,向市国资委及市财政局报送企业、行政事业单位国有资产处置交易情况;年度终了后的 30日内上报全年企业、行政事业单位国有资产处置交易汇总分析报告。


第二十条 行政事业单位处置旧的国有资产形成新的国有资产的,原资产占用单位可向市财政局申请拨付,市财政局根据处置资产的类别对收入进行调控,调控比例规定如下:


(一)土地、房屋建筑物的调控比例为处置收入的 5%;


(二)机动车、办公设备及其他仪器设备的调控比例为处置收入的 10%。


调控收入及时上缴国库,做国有资产收益,进一般预算收入笼子。其余收入根据原资产占用单位用款进度拨返单位。





第三章 法律责任





第二十一条 市国资委及市财政局对国有资产处置中所涉及的单位、社会中介机构、产权交易机构以及其他组织等的规范操作情况实行年度检查和抽查制度。对于资产处置中的违法违纪行为按照有关规定进行处理,触犯刑律的,移送司法机关追究其法律责任。


第二十二条 产权交易工作涉及面广,政策性强,情况复杂。各级国资、财政、国土、房产、规划、工商、税务、技术监督、监察、社保等部门要从促进国有产权合理流动、推动国有经济布局和结构战略性调整的高度,加强部门协作,建立联席会议制度,定期研究和处理国有产权交易中的相关问题,积极支持国有企业的改革、改制和重组。对申请人材料齐备、符合规定的国有产权流动,各部门要在规定的时限内办理产权变动登记,工商部门及时依法核准登记。


第二十三条 严肃查处国有资产交易中的违法违规行为。


(一)违反本办法第九条和第十四条规定,擅自批准转让国有资产或者擅自在场外转让国有资产的,一经发现,国有资产监管机构或国有资产交易相关批准机构应当立即要求转让方终止产权交易活动;已完成交易的,国有资产监管机构及房产、国土权证变更机构不得办理产权变动登记,工商行政管理部门不得办理工商变更登记手续。必要时,国有资产监管机构应及时协调有关部门依法向人民法院提出诉讼,确认产权交易行为无效。


(二)各级纪检监察部门要加大对国有资产 “进场交易”情况的稽查力度,对国有资产交易主体、交易机构和相关职能部门及其有关人员追究相关责任人的责任,情节严重的,给予纪律处分;造成国有资产损失或流失的,应当负赔偿责任;构成犯罪的,依法移送司法机关追究刑事责任。


(三)对社会中介机构在国有资产转让的审计、评估、拍卖和法律服务中违规执业的,由国有资产监管机构将有关情况通报其行业作管机关,建议给予相应处罚,并可不再委托其进行国有资产转让的相关业务。


(四)为更好地打击转移、隐藏、低估国有资产、虚列债务、场外交易等违法违纪行为,保护国有资产的安全与完整,市监察局、市国资委、市财政局应建立国有资产流失举报奖励制度,依靠群众监督,强化纪律约束。


(五)产权交易双方提供虚假资料,骗取交易,扰乱市场秩序的,产权交易中心按规定予以处罚,触犯刑律的依法追究刑事责任。


(六)产权交易双方、竞买人之间恶意串通,给国有资产造成损失,依法追究当事人法律责任。





第四章 附 则





第二十四条 各县市区国有资产产权交易、集体所有制经济以及其他所有制经济的产权交易,可参照本办法执行。


第二十五条 本办法自 2009年 9月 1日起施行。

广元市税收征管保障暂行办法


第一条 为构建税收征管保障机制,规范税收征纳行为,维护纳税人的合法权益,促进经济和社会和谐发展,根据《税收征收管理法》等法律法规的规定,结合广元实际,制定本办法。

第二条 本办法所称税收征管保障,是指有关部门、单位依法实施监督和协助管理,向税务部门提供涉税信息等支持协助税务机关开展税收征管工作措施的总称。

第三条 税收征管保障的机制构建,以税收征管法律、法规为依据,以“政府领导、税务主管、部门配合、社会参与”为原则,以部门联动、综合治理、源头控管为主要方式,以依法治税、应收尽收为目标。

第四条 广元市税收征管保障工作领导小组负责全市税收征管保障工作的统筹、协调和领导,具体事务由税收征管保障领导小组办公室承担。

各县区人民政府、广元经济开发区管委会应当加强对税收征管保障工作的组织领导,督促有关部门和单位落实税收征管保障措施,对税收征管保障工作情况进行检查和考核。

第五条 税务部门应当发挥税收征管保障的主导作用,加强税收征收管理,优化纳税服务,依法组织税收收入。根据经济和社会发展情况,提出修改有关部门和单位提供涉税信息以及协助税收管理的意见。

第六条 政府部门、有关单位应当按照国家法律、法规有关规定向税务机关提供涉税信息,支持、协助税务机关及其工作人员履行职责。

第七条 依托电子政务外网建立全市统一的经济税收公共信息共享平台。县区人民政府、广元经济开发区管委会应当健全相关部门之间的经济税收公共信息共享制度,逐步实现互联互通。

第八条 政府部门和公用事业企业单位应当确定相应机构及人员,通过经济税收公共信息共享平台,按照下列规定将本部门、单位涉税信息如实提供给税收征管保障领导小组办公室:

(一)发展改革部门及时提供年度重大建设项目计划信息;按季提供投资建设项目立项批复信息,建设项目招标中标信息,《煤炭经营许可证》核发信息。

(二)经济和信息化部门按季提供软件企业和软件产品认定信息,企业改组改制及破产信息,大中型企业技术改造项目信息。

(三)教育部门按季提供新办各类民办学历教育、民办非学历教育、民办托儿所、民办幼儿园等项目信息。

(四)科技和知识产权部门及时提供高新技术企业认定信息;按季提供专利、创意设计登记备案信息,专利技术合同认定登记信息,科技成果和专利权转让信息,科技补贴拨付信息。

(五)公安部门按月提供种经营监管、机动车车辆登记使用、入境人员登记、印章管理信息;按季提供打击虚开发票和假发票等涉税违法行为信息,《特种行业许可证》核发、变更、注销信息,特定行业购销火工产品审批信息。

(六)民政部门按季提供福利企业资格认定、年检信息,社会团体、基金会、民办非企业、宗教活动场所等非营利社会组织的登记、变更、注销信息;按年提供地名命名更名信息。

(七)司法部门按季提供律师事务所、法律服务所、公证处及司法鉴定机构登记、变更及注销信息,办理公证事项的相关信息;按年提供律师从业信息。

(八)财政部门按季提供政府采购中标及支付信息,涉及纳税人的财政补贴、奖励项目及拨付信息,财政拨款建设项目及拨款明细信息,集中支付的大额发票票面信息。

(九)人力资源和社会保障部门按季提供《就业失业登记证》的核发信息,向营利性医疗机构、药店支付医药费的分户信息,《企业实体吸纳下岗失业人员认定证明》核发、年检信息,劳动和就业培训教育机构登记、变更、注销信息。

(十)国土资源部门及时提供国有土地使用权出让、转让信息,土地整理项目信息;按季提供土地征用信息,《采矿许可证(非煤矿山)》核发、年检及出让、转让等权属变更信息,固体矿产资源储量核实信息,《建设用地批准书》核发信息。

(十一)规划建设和住房部门按季提供《建筑工程施工许可证》核发信息,市政建设项目及资金支付信息,商品房预售许可信息,商品房网上签约及备案信息,房屋登记信息,市政建设配套费等信息。

(十二)交通运输部门按季提供本级直接管理的交通建设项目及资金支付信息;运管部门按季提供车辆营运证及车辆维修资格证核发、变更信息;航务管理部门按季提供船舶营运证核发信息。

(十三)水务部门按季提供水利建设项目及资金支付信息,河砂竞标拍卖及产量核定等信息。

(十四)农业部门按季提供农业建设项目及资金支付信息,农用车辆登记信息,农机经营网点及补贴发放信息。

(十五)林业和园林部门按季提供林木采伐许可证、准运证核发信息,林业和园林建设项目及资金支付等信息。

(十六)商务部门按季提供对外贸易经营者备案登记信息,外商投资企业登记信息,外国企业和外籍个人转让商标权、专利权、非专利权技术所有权或者使用权的信息,特定项目经营网点及补贴发放等信息。

(十七)文体和新闻出版部门在大型营业性演出、商业性体育比赛或者其它重要文化体育活动前10个工作日内提供活动的相关信息;按季提供音像、歌舞厅、网吧等行业《文化经营许可证》核发、变更及注销信息。

(十八)卫生部门按季提供医疗机构设置审批、变更、注销信息,营利性、非营利性医疗机构认定等信息。

(十九)审计部门按季提供被审计单位少缴税款以及发票违法违章信息,受托代征单位截留挪用代征税款等信息。

(二十)环保部门按季提供节能节水和环境保护建设项目及资金支付信息。

(二十一)安监部门按季提供非煤矿山企业、危险化学品、烟花爆竹生产企业《安全生产许可证》核发、变更、注销等信息。

(二十二)统计部门按季提供本地区规模以上工业企业总产值、产品销售收入、成本、费用、利润信息,本地区社会商品零售总额、本地区固定资产投资额、分行业的利润率和本地职工平均工资等信息。

(二十三)粮食部门按季提供粮食收储经营企业审批等信息。

(二十四)食品药品监管部门按季提供餐饮服务许可信息,《药品经营许可证》核发、变更、注销信息,医疗机构生产自制药品信息。

(二十五)招商部门按季提供招商引资项目信息。

(二十六)国资部门按季提供监管企业分离、兼并、划转、改组改制信息,技术改造项目等信息。

(二十七)煤管部门按季提供《煤矿开采许可证》核发、年检及出让、转让等权属变更信息,煤炭企业计划产量、开采数量等信息。

(二十八)住房公积金管理部门按年提供住房公积金缴存单位超比例提取、缴纳及贷款发放等信息。

(二十九)工商部门按季提供登记注册、变更、年检、注销、吊销等信息,股权变更、转让及其各方明细登记信息。

(三十)质监部门按季提供企业、事业单位、社团组织及民办非企业单位的组织机构代码证登记、变动信息。

(三十一)人民银行按季提供纳税人开户信息,售汇、付汇、收汇明细信息。

(三十二)银监局按季提供金融机构登记、变更、注销信息。

(三十三)残疾人联合会按季提供残疾人安置信息。

(三十四)电力部门按季提供供电建设工程项目及资金支付信息,本地发电企业上网电量、电价等信息;水、电、气等经营单位按季提供特定纳税人水、电、气耗用量等信息。

(三十五)各类财产保险公司按季提供财产保险理赔中大额维修发票信息;民爆公司、盐业公司、烟草批发企业、成品油批发企业、药品批发企业按季提供商品销售(批发)等明细信息。

(三十六)上述部门、单位及其它部门应当按照税收征管保障领导小组的要求,向税收征管保障领导小组办公室提供税收征管需要的其它涉税信息。

上述部门和单位当期未产生信息的,实行零报送制。税务机关应当做好提供涉税信息的辅导工作。

第九条 第八条规定的应及时提供涉税信息的,在信息发生后的2个工作日内提供;按月提供涉税信息的,在次月10个工作日内提供;按季提供涉税信息的,在下一季度首月15个工作日内提供;按年提供涉税信息的,在次年1月底前提供。

第十条 政府部门和有关单位在各自职责范围内,协助税务机关做好以下税收管理工作:

(一)公安部门与税务机关建立工作协调机制,共同打击逃税、骗税、抗税等税收违法犯罪行为,及时查处税务机关移送的涉税犯罪案件及其它涉税违法线索,并将查处结果通报税务机关;协助税务机关查询纳税人以及其他涉税人员身份证明、境内外人员出入境记录等信息;协助税务机关实施阻止欠税人出国离境措施;及时依法处理阻挠税务人员依法执行公务的行为。

(二)科技和知识产权部门及时查处涉嫌虚报研究开发费用、伪造技术合同及骗取高新技术企业资格的案件,并将查处结果通报税务机关。

(三)民政部门及时查处涉嫌骗取福利企业资格的案件,并将查处结果通报税务机关。

(四)司法部门协助税务机关加强对全市法律服务机构的税收管理。

(五)财政部门协助税务机关查询行政事业性收费情况;按照规定在年度预算中安排国家、省、市级人民政府规定的有奖发票兑奖、涉税举报经费和代扣代缴、代收代缴、委托代征的手续费;及时移送财政财务监督检查中发现的涉税违法行为;在拨付政府投资性项目资金时,督促建设单位按规定缴纳税费;监督预算单位执行发票管理规定,协助税务机关查处预算单位的发票违章行为。

(六)人力资源和社会保障部门协助税务机关查询《就业失业登记证》核发、社保缴纳等信息。

(七)国土资源部门协助税务机关依法查询、查封纳税人以及其他涉税人员的土地使用权;对税务机关委托拍卖或者变卖纳税人以及其他涉税人员的土地使用权的,协助办理过户手续;对申请办理矿产、土地权属变更手续的单位和个人,发现不能提供正式发票、完税证明或者不征税证明的,责成其向税务机关结清税款后再予办理。

(八)规划建设和住房部门协助税务机关查询招标合同备案、房屋销售合同备案情况;协助税务机关依法查询、查封纳税人以及其他涉税人员的房产;对税务机关委托拍卖或者变卖纳税人以及其他涉税人员的房产所有权的,协助办理过户手续;对申请办理房产权属变更手续的单位和个人,发现不能提供正式发票、完税证明或者不征税证明的,责成其向税务机关结清税款后再予办理。

(九)审计部门将被审计对象是否依法履行税收缴纳义务、遵守发票管理法规作为必审内容;及时移送审计工作中发现的涉税线索,并提供相关的审计资料;税务部门对审计部门移送的涉税事项应当及时清收,并将清收结果及时反馈审计部门。

(十)煤管部门在办理有关煤炭生产许可证件转让、变更时,审核契税、营业税、所得税、印花税等相关税款是否已足额缴纳,凡无税收完税证明的,责成其向税务机关结清税款后再予办理。

(十一)工商部门对申请办理工商注销登记的企业、个体工商户,发现不能提供税务登记注销证明的,告知申请人先到税务机关办理相关手续后再予办理;对税务机关依法函请同级工商部门吊销企业、个体工商户营业执照的,工商部门依法办理吊销手续。

(十二)有关银行和金融机构协助税务机关依法查询从事生产、经营的纳税人的账户开立、变更和注销情况;协助税务机关依法对纳税人采取税收保全或强制措施。

(十三)上述部门、单位及其它部门、单位,按照税收征管保障工作领导小组的要求,协助税务机关依法查询其它涉税经济信息,开展其它税收管理工作。

第十一条 政府部门和有关单位对取得的付款凭证应当严格审核,查验真伪,凡不符合规定的票据,不得作为报销凭证。对于税务机关提请代扣代缴税款的,给予协助。

第十二条 税务机关根据有利于税收控管和方便纳税的原则,根据国家有关规定,可以对零星分散、异地缴纳、便于源头控管的税收实行委托代征,有关部门、单位应当给予支持和协助。

受托代征税款的单位代征税款时,应当出示委托代征证书并开具税收票证或证明。纳税人拒绝的,及时告知税务机关。

第十三条 税收征管保障领导小组办公室对有关部门和单位提供的涉税信息应当科学分析、综合利用,不得用于税收管理之外的其它用途。对涉及国家秘密、商业秘密、个人隐私的信息,应当予以保密。

第十四条 政府部门需要调取经济税收公共信息共享平台及税务机关的有关信息时,税收征管保障领导小组办公室同意后无偿提供。

第十五条 市政府目标管理办公室会同市税收征管保障工作领导小组办公室定期对各部门、单位参与税收征管保障工作情况进行专项督查。

县区人民政府、广元经济开发区管委会定期对本级税收征管保障工作情况和成效进行考核。考核的内容主要包括:

(一)有关部门和单位提供涉税信息情况;

(二)有关部门和单位协助税收管理情况;

(三)受托代征税款的单位代征税款情况;

(四)有关部门和单位作为扣缴义务人扣缴税款的情况;

(五)税务机关通过税收征管保障措施,组织税收收入情况。市人民政府、县区人民政府、广元经济开发区管委会对税收征管保障工作考核优秀的单位和个人予以表彰和奖励。

第十六条 有关部门和单位违反本办法规定,未及时提供涉税信息,未能有效协助管理,造成税收损失的,税务机关应当报告本级人民政府,由本级人民政府依据有关规定对有关部门及其责任人员作出处理。

第十七条 法律、法规另有规定的,从其规定。

第十八条 本办法实施中的具体问题由市财政局会同市国税局和市地税局解释。

第十九条 本办法自发布之日起30日后施行。

 PART II SECURITIES AND FUTURES COMMISSION
  
  ecurities and Futures Commission
  There is hereby established a body to be known as the Securities 
and
  res Commission.
  The Commission shall be a body corporate with power to sue 
and be
  . (3) The receipts of the Commission shall not be subject to
taxation
  r the Inland Revenue Ordinance (Cap. 112).
  (a) The Commission shall provide itself with a seal.
  The seal of the Commission shall be authenticated by the signature 
of
  chairman or deputy chairman of the Commission or, if both the
chairman
  deputy chairman of the Commission are absent from Hong Kong or 
unable
  ct, the signature of some other director of the Commission 
authorized
  t to act in that behalf.
  
  unctions of Commission
  The Commission shall have the following functions--
  to advise the Financial Secretary on all matters 
relating to
  rities, futures contracts and property investment arrangements;
  without prejudice to any duties imposed or powers conferred 
on any
  r person in regard to the enforcement of the law 
relating to
  rities, futures contracts and property investment arrangements,
to be
  onsible for ensuring that the provisions of the relevant 
Ordinances,
  the provisions of any other Ordinance so far as they 
relate to
  rities, futures contracts and property investment 
arrangements, are
  lied with;
  to report to the Financial Secretary the occurrence of any dealing 
in
  tion to securities which it reasonably believes or suspects to 
be an
  der dealing within the meaning of section 9 of the Securities
(Insider
  ing) Ordinance (Cap. 395); (Amended 62 of 1990 s. 42)
  to be responsible for supervising and monitoring the activities
of the
  ange Companies and clearing houses;
  to take all reasonable steps to safeguard the interests of 
persons
  ing in securities or trading in futures contracts or entering 
into
  erty investment arrangements;
  to promote and encourage proper conduct amongst members 
of the
  ange Companies and clearing houses, and other registered persons;
  to suppress illegal, dishonourable and improper practices in 
dealing
  ecurities, trading in futures contracts, entering into 
property
  stment arrangements, and the provision of investment advice or 
other
  ices relating to securities, futures contracts and property
investment
  ngements;
  to promote and maintain the integrity of registered 
persons and
  urage the promulgation by registered persons of balanced and 
informed
  ce to their clients and to the public generally;
  to consider and suggest reforms of the law relating to 
securities,
  res contracts and property investment arrangements;
  to encourage the development of securities and futures markets
in Hong
  and the increased use of such markets by investors in Hong Kong 
and
  where; (k) to promote and develop self-regulation by market
bodies in
  securities and futures industries;
  subject to the provisions of this Ordinance, to co-operate with 
and
  st authorities or regulatory organizations, in Hong Kong or
elsewhere,
  are concerned with securities and futures, or with banking,
insurance
  ther financial services or with the affairs of corporations;

  to perform any other functions conferred by or under 
any other

  As regards any function, the Commission may, for the 
guidance of
  stered persons and others, prepare and cause to be published in 
the
  tte guidelines indicating the manner in which, in the absence of 
any
  icular consideration or circumstance, it proposes to 
perform the
  tion.
  The Commission may from time to time engage such 
consultants or
  sers as it may consider necessary to assist the Commission 
in the
  ormance of its functions. (4) Nothing in subsection (1) (k)
shall be
  rded as limiting or otherwise affecting any other function 
of the
  ission.
  
  onstitution of Commission
  Subject to subsection (2), the Commission shall consist of a 
chairman
  inted by the Governor and such uneven number, not being less than

  ther directors so appointed as the Governor may determine; and 
when
  number of such other directors ceases to be an uneven 
number the
  rnor shall make such appointment or appointments as may be 
necessary
  omply with this subsection.
  Half of the directors of the Commission, including the chairman,
shall
  ppointed to be executive directors and the remainder 
shall be
  inted to be non-executive directors.
  The Governor may appoint an executive director to be deputy 
chairman
  he Commission.
  (a) If no appointment has been made under subsection (3) or if 
the
  ce of deputy chairman of the Commission is vacant, the

  etary may designate an executive director to act as chairman of 
the
  ission during any period during which the chairman of the 
Commission
  nable to act as chairman due to illness or other incapacity 
or is
  nt from Hong Kong.
  A designation under this subsection shall cease when revoked 
by the
  ncial Secretary or an appointment is made under 
subsection (3),
  hever first occurs. (5) The terms and conditions of office 
of a
  ctor of the Commission shall be such as the Governor may
determine.
  A director of the Commission may at any time resign his 
office by
  er sent to the Governor.
  A director of the Commission shall be paid by the Commission 
such
  neration, allowances or expenses as the Governor may determine.
  The Governor may by notice in writing remove from office any 
director
  he Commission whose removal appears to him to be desirable 
for the
  ctive performance by the Commission of its functions.
  Meetings of the Commission shall be held as often as may be 
necessary
  the performance of its functions, and may be convened by the 
chairman
  he deputy chairman or any 2 other directors.
  If the office of chairman of the Commission is vacant or the
chairman
  he Commission is unable to act as chairman due to illness or 
other
  pacity or is absent from Hong Kong the deputy chairman or an
executive
  ctor designated under subsection (4) shall act as chairman 
in his
  e.
  At a meeting of the Commission--
  the chairman shall be chairman of the meeting; or
  if the chairman is not present, the deputy chairman shall be 
chairman
  he meeting; or
  if neither the chairman nor the deputy chairman is 
present, the
  ctors present shall choose one of their number to be chairman of 
the
  ing.
  The quorum for a meeting of the Commission shall be 4 directors 
of
  2 shall be executive directors and 2 shall be non-
executive
  ctors.
  Each director of the Commission present at a meeting thereof 
shall
  a vote. (14) (a) Every question for decision at a meeting of 
the
  ission shall be determined by a majority of votes of the 
directors
  ent and, in the event that voting is equally divided, 
subject to
  graph (b) the chairman of the meeting shall have a casting vote. 
(b)
  chairman of a meeting shall not exercise a casting vote until
after he
  consulted the Financial Secretary as regards that exercise.
  The Commission may act notwithstanding a vacancy among its
directors.
  The Commission shall organize and regulate its 
administration,
  edure and business.
  
  ommission may establish committees
  The Commission may establish standing or special committees 
and may
  r or assign to any such committee any matter for 
consideration,
  iry or management by the committee.
  The Commission may appoint any person to be a member of any 
committee
  blished under this section, whether that person is a director of 
the
  ission or not. (3) Any reference or assignment under 
subsection (1)
  every appointment under subsection (2) may be withdrawn or
revoked by
  Commission at any time, and no such reference or assignment 
shall
  ent the performance by the Commission of any of its functions.
  A committee established under this section may elect any 
of its
  ers to be chairman and may regulate its own procedure and 
business;
  in the exercise of its powers under this subsection such 
committee
  l be subject to and act in accordance with any direction given
to the
  ittee by the Commission for the purposes of this subsection.
  Meetings of a committee established under this section shall be 
held
  uch times and places as the chairman of that committee may,
subject to
  ection (4), determine.
  taff of Commission
  The Commission may from time to time employ persons who shall be 
paid
  remuneration and allowances and shall hold their employment on 
such
  r terms and conditions as the Commission shall determine.
  The Commission may make arrangements for or in respect 
of the
  ision and maintenance of such schemes (whether contributory or 
not)
  the payment to its employees and their dependants of such
